The Newton Falls Preservation Foundation

BOARD MEMBER GUIDELINES

The purpose of the Board of the Newton Falls Preservation Foundation is to responsibly guide our organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure that the Foundation has adequate resources to advance its mission. 

Individual members of the Board are members in good standing charged with cooperatively assisting in carrying out the duties of the Board and enhancing the goals and mission of the Foundation.  Individual Board members have no authority to independently act on behalf of the full Board on policy issues. 

 

Generally, the responsibilities and duties expected of an individual Board member are to: 

 

  • Be loyal to the Foundation, always exercising Board powers in the best interest of our organization, and not for the interest of the individual Director or others. 

  • Provide leadership and oversight for activities that advance the Foundation’s reputation, effectiveness and sustainability. 

  • Actively participate in Board and Committee meetings. 

  • When needed, to responsibly serve on committees and/or carry out special assignments for the Foundation.   

  • Be willing to Chair at least one committee annually or as needed. 

  • Support the Foundation at special events and activities. 

  • Represent the Foundation to individuals, the public and other organizations in a positive and professional manner.   

  • Unless agreed otherwise by vote of the Board, individual Board members are highly discouraged from taking any position, in a public forum (Facebook, Twitter, media, etc.) on matters involving local politics, or personalities where any possibility may exist that such individuals’ opinions may be construed by others as representing the opinions or position of the Foundation or its Board. 

  • Maintain the confidentiality of the Board’s discussions and executive actions.
